SUBSCRIPTION TERMS OF PURCHASE

Thank you for your interest in and support of Neural Transformations LLC (“Company,” “we,” “us,” or “our”). We are grateful to have you as part of our educational and coaching community.
Please read these Subscription Terms of Purchase (“Terms”) carefully. By purchasing or accessing any subscription-based product or service offered by Neural Transformations LLC, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Parties & Scope
These Terms constitute a legally binding agreement between you (“Purchaser,” “you,” or “your”) and Neural Transformations LLC, a Colorado limited liability company.
These Terms apply only to subscription-based products and services, including but not limited to:
- Educational content
- Group coaching
- Community access (including WhatsApp, Skool, or similar platforms)
- Live or recorded calls
- Messaging support
- Non-clinical 1:1 coaching or feedback
These Terms do not apply to standalone digital courses that include a separate, clearly stated refund policy.
2. Educational & Coaching Disclaimer (No Medical Care)
You expressly understand and agree that:
- The subscription is educational and coaching-based only
- The Company does not provide medical advice, diagnosis, or treatment
- Participation does not create a doctor–patient, therapist–patient, or healthcare provider–patient relationship
- The subscription does not replace medical care, mental health care, or professional healthcare services
You are solely responsible for your physical, mental, and emotional well-being and for seeking licensed medical or mental health professionals when appropriate.
3. No Guarantees or Warranties
All subscription services are provided on an “AS IS” and “AS AVAILABLE” basis.
The Company makes no guarantees regarding outcomes, symptom improvement, financial results, or personal transformation. Individual results vary based on many factors beyond the Company’s control.
4. Subscription Billing & Auto-Renewal
By purchasing a subscription, you authorize Neural Transformations LLC to charge your selected payment method on a monthly, recurring, auto-renewing basis unless and until you cancel.
Billing occurs in advance on the same calendar day each month
All fees are charged in USD
You must maintain a valid payment method on file at all times
4.1 Free Trial Disclosure
If a free trial is offered, the free trial is provided solely to allow prospective subscribers to evaluate the subscription before being charged.
Unless cancelled before the end of the trial period, the subscription will automatically convert to a paid, auto-renewing monthly subscription, and your payment method will be charged.
Failure to cancel during the free trial period does not entitle you to a refund.
By enrolling in a free trial, you expressly acknowledge that you are responsible for cancelling before the trial ends if you do not wish to be charged.
5. No Refund Policy (Subscriptions)
ALL SUBSCRIPTION PAYMENTS ARE FINAL.
Due to the nature of subscription access, including immediate entry to proprietary content, coaching, and community, we do not offer refunds, credits, partial refunds, or prorated refunds under any circumstances, including but not limited to:
- Non-use of the subscription
- Missed calls or sessions
- Dissatisfaction with content
- Early cancellation
- Forgetting to cancel
- Financial hardship
- Time constraints
By purchasing, you expressly waive any right to a refund.
6. Cancellation Policy
You may cancel your subscription at any time through the method provided at purchase or by written request.
- Cancellation stops future billing only
- Access continues until the end of the current paid billing period
- No refunds are issued for unused time.
7. Failed Payments & Suspension of Access
If a payment fails:
- We may attempt to reprocess the payment
- We may contact you to update your payment method
- If unresolved, your access may be temporarily suspended
Failure to resolve payment issues may result in termination of access at the Company’s discretion.
8. Community Conduct & Termination Rights
We reserve the right to remove or restrict access to any member, without refund, if we determine that a member:
- Is disruptive, abusive, or disrespectful
- Violates community guidelines
- Misuses coaching or messaging access
- Shares proprietary content
Acts in a way that compromises the safety or integrity of the community
9. Chargebacks & Payment Disputes
By initiating a chargeback or payment dispute, you agree that:
- You are in breach of these Terms
- The Company may submit these Terms to Stripe, your bank, or card issuer
- You are responsible for the original charge plus any associated dispute or processing fees
10. Intellectual Property & License
All content provided through the subscription is the exclusive intellectual property of Neural Transformations LLC.
You are granted a limited, non-transferable, non-exclusive, revocable license for personal use only.
You may not:
- Share login access
- Copy, reproduce, resell, or distribute content
- Use content for commercial or competitive purposes
11. Testimonials & Submissions
By submitting testimonials, comments, reviews, messages, or other content, you grant the Company permission to use such submissions for marketing, educational, or promotional purposes, with or without attribution, and with reasonable anonymization when appropriate.
12. Age & International Users
You confirm that you are at least 18 years old and legally able to enter into this agreement.
International users agree that access is voluntary and that they are responsible for compliance with local laws.
13. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages.
Our total liability, if any, shall not exceed the amount paid by you for the subscription during the most recent billing period.
14. Governing Law & Arbitration
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
Any dispute shall be resolved through binding arbitration in Colorado under the rules of the American Arbitration Association.
15. Modifications to Terms
We reserve the right to update these Terms at any time. Continued use of the subscription constitutes acceptance of any revised Terms.
16. Entire Agreement
These Terms constitute the entire agreement between you and Neural Transformations LLC regarding subscription services and supersede all prior communications or agreements.
